Affiliate Program Terms & Conditions

Introduction

Welcome to the Irazia Affiliate Program, powered by Social Snowball. This program rewards the creators and customers who introduce new people to Irazia. These Terms and Conditions ("Terms") are the agreement between you ("Affiliate," "you") and Evergreen Winter LLC, doing business as Irazia ("Irazia," "we," "us"). By participating in this program, you agree to comply with these Terms. Please read them carefully — especially Promotion Guidelines, Content and Media Rights, Coupon and Deal Sites, and Grounds for Suspension or Removal.

Eligibility

  1. To be eligible for participation in the Irazia Affiliate Program, applicants must be 18 years or older and have an active and valid method of payment reception.
  2. You must keep your payout details accurate and current.
  3. You must provide a real, active Instagram handle at signup. Accounts with a fake, private-and-unverifiable, inactive, or purchased-follower profile may be rejected or removed.
  4. You must not be an Irazia employee, contractor, or a member of their immediate household, unless we approve it in writing.
  5. You are responsible for complying with the laws, tax rules, and advertising regulations that apply where you live and where you promote.
  6. Irazia reserves the right to approve, reject, pause, or remove any application or account at its sole discretion.

Program Participation

  1. Affiliates will receive a unique referral code and/or link to share with potential new customers. Both are personal to you. Do not share, sell, or transfer them.
  2. Your code is protected by Safe Links, meaning it only applies when a customer arrives through your link. This keeps your code off deal sites and keeps your commission attached to you.
  3. Commissions are earned on qualifying sales that are directly attributable to your referral code or link. Attribution is last-click, within the cookie window shown in your affiliate dashboard.
  4. Commissions are earned on qualifying orders from both new and returning customers.
  5. Your commission rate, program, and any rewards are shown in your affiliate dashboard. Rates are set by Irazia and may differ between affiliates, programs, products, and promotions.
  6. The program may include tiers you can move into by hitting a performance goal, with rewards or welcome gifts attached. The current goals and rewards are shown in your dashboard. When you unlock a gift, you will receive an email to choose and redeem it. Gifts ship as a normal Irazia order and are subject to the same address and delivery limits as any other order.
  7. Tier placement, gifts, and rewards are earned on qualifying, non-returned orders. Orders that are refunded, canceled, or found to be fraudulent do not count toward a goal and may un-earn a reward.
  8. Affiliates are responsible for ensuring their referral methods comply with all applicable laws and regulations.

Commission and Payments

  1. Commission rates are subject to change at Irazia's discretion. Affiliates will be notified by email before a change to their rate takes effect, and any change applies only to orders placed after the change.
  2. A commission is approved and becomes payable 30 days after the referred customer's order ships. This matches our 30-Day Shade and Size Match Guarantee, so we pay once the return window has closed.
  3. Approved balances are paid out monthly, on the 1st of the following month, through our payout provider.
  4. Irazia may apply a minimum payout threshold. Balances below it roll over and are paid in the first cycle they clear it. The current threshold, if any, is shown in your affiliate dashboard.
  5. Payments of commissions are contingent upon the collection of funds from the referred customer. Returned, refunded, canceled, charged back, or failed sales will result in the deduction of the corresponding commission from the affiliate's balance, including after that commission has been approved.
  6. If an affiliate's balance goes negative from reversals, the negative amount is offset against future commissions.
  7. Commissions are earned on product subtotal after discounts. Shipping, taxes, duties, gift cards, and gift-card purchases are excluded.
  8. Affiliates may not use their own code or link on their own orders or on orders for their household, and may not instruct customers to place orders on their behalf. Self-referred orders earn no commission, and repeat attempts are grounds for removal.
  9. Affiliates are independent participants and are solely responsible for their own income taxes. Affiliates may be required to complete a W-9, W-8BEN, or equivalent before payout, and Irazia may issue a 1099 where required by law.
  10. If payout details are invalid, or a payout goes unclaimed for 180 days after it is sent, Irazia may void the balance after emailing the affiliate at least once at their account email.
  11. All commissions are subject to review and verification by Irazia. This process is to ensure the integrity of the Affiliate Marketing Program and may include the delay or withholding of payment while an investigation is conducted.
  12. Commissions deemed to be earned through fraudulent, illegal, deceptive, spammy, or overly aggressive or questionable sales or marketing methods will be voided. This includes anything listed under Promotion Guidelines, Content and Media Rights, or Grounds for Suspension or Removal.
  13. Irazia reserves the right to withhold or delay payment of commissions pending an investigation of breach of these Terms.
  14. If Irazia terminates an account for a breach of these Terms, any unpaid balance is forfeited. If an affiliate leaves voluntarily, or Irazia closes the program with no breach on the affiliate's side, the approved balance is paid on the next normal payout date.

Promotion Guidelines

  1. Affiliates may promote Irazia on channels they own or control: their social accounts, their email list or newsletter, group chats and direct messages with people who know them, in person, and their own website.
  2. No paid advertising of any kind. Affiliates may not run paid ads that promote Irazia, their Irazia link, or their Irazia code on Meta, TikTok, Google, YouTube, Pinterest, Snapchat, Reddit, or anywhere else. This includes boosting a post that contains the link or code.
  3. No brand bidding. Affiliates may not bid on "Irazia," misspellings, or any variation in search or shopping ads, and may not use "Irazia" in an ad headline, body, display URL, or landing page they run traffic to.
  4. No marketplaces. Affiliates may not list, resell, or promote Irazia products on Amazon, eBay, Walmart, Etsy, TikTok Shop, Temu, or any similar marketplace.
  5. No impersonation. Affiliates may not register domains, social handles, or app-store listings containing "Irazia" or a confusing variation, and may not present themselves as Irazia, Irazia support, or an Irazia employee.
  6. No spam. No unsolicited email or SMS blasts, no mass direct messages to strangers, no comment spam, no bots, no automated posting, no purchased traffic, and no cookie stuffing.
  7. No false or unapproved claims. Affiliates may only state what is true and what Irazia has published. Do not promise medical, weight-loss, or body-changing results, do not invent materials, certifications, prices, or shipping times, and do not advertise a discount that does not exist.
  8. Affiliates must clearly disclose their relationship with Irazia in every post, story, video, and email that includes their link or code, for example "#ad," "paid partnership," or "affiliate link," in line with the FTC Endorsement Guides and the equivalent rules where they live. The disclosure must be placed where it is plainly visible, not buried in a comment or at the end of a caption.
  9. No harmful content. Nothing hateful, harassing, sexually explicit, violent, defamatory, or targeting minors, and nothing that violates a platform's own rules.

Content and Media Rights

  1. Affiliates keep ownership of the photos and videos they create ("Affiliate Content").
  2. By posting Affiliate Content that features Irazia products, an Irazia link, or an Irazia code, the affiliate grants Irazia a perpetual, worldwide, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, edit, adapt, distribute, and display that content in any medium. This includes paid advertising, whitelisted and partnership ads such as Meta partnership ads and TikTok Spark Ads, our website, product pages, email, SMS, retail, and packaging, with or without credit and with no additional payment.
  3. This license includes the right to use the affiliate's name, handle, likeness, and voice as they appear in that content, for the same purposes.
  4. This license survives the end of the affiliate's participation in the program. If an affiliate asks in writing that Irazia stop using a specific piece of content, Irazia will stop using it in new campaigns within 30 days, but is not obligated to take down media already printed, distributed, or live in an existing campaign.
  5. Affiliates warrant that they created or fully control the content, that they have permission from everyone who appears in it, and that any music, footage, fonts, or assets in it are cleared for commercial use.
  6. If Irazia and an affiliate sign a separate paid usage-rights agreement for a specific piece of content, that agreement controls for that content.

Coupon and Deal Sites

  1. Posting on coupon, deal, cashback, or extension-based discount websites, such as CouponBird, Honey, RetailMeNot, Slickdeals, Rakuten, Capital One Shopping, Karma, Wethrift, and Dealspotr, is strictly prohibited. Affiliates found to be sharing or allowing their codes to be posted on such sites will be subject to immediate termination from the program and forfeiture of any pending commissions.
  2. Affiliates are encouraged to report any unauthorized use of their codes to Irazia for investigation.

Intellectual Property

  1. Affiliates may not alter any brand assets provided by Irazia without prior written consent. This includes recoloring, stretching, cropping the logo, or building a new mark from ours.
  2. All promotional materials, including but not limited to images, logos, and slogans, must be used in a manner that is respectful and consistent with Irazia's brand guidelines.
  3. Irazia grants affiliates a limited, non-exclusive, revocable license to use the assets it provides, only to promote Irazia and only while the affiliate is active in the program. It ends when participation ends.
  4. Affiliates may not register, claim, or apply for any trademark, domain, or handle that includes or imitates "Irazia."

Grounds for Suspension or Removal

Irazia may suspend or terminate an affiliate account immediately, void pending commissions, and reverse paid ones, for any of the following:

  1. Self-referral, order manipulation, cookie stuffing, or any attempt to generate commissions from orders the affiliate or their household placed.
  2. Fraudulent orders, stolen payment methods, or a pattern of chargebacks.
  3. Posting a code to coupon, deal, or cashback sites, or sharing, selling, or transferring a code or link.
  4. Running paid ads, bidding on Irazia brand terms, or listing Irazia products on a marketplace.
  5. Spam, bots, purchased traffic, or mass unsolicited direct messages, email, or SMS.
  6. Missing or inadequate affiliate disclosure after one written warning, or with no warning where the violation is deliberate or repeated.
  7. False, misleading, or unapproved claims about the product, its materials, its results, its price, or its availability.
  8. Impersonating Irazia or an Irazia employee, or posing as customer support.
  9. Registering domains, handles, or trademarks using the Irazia brand name.
  10. Content that is hateful, harassing, sexually explicit, defamatory, or that damages the brand's reputation.
  11. Providing false information at signup, including a fake or purchased-follower Instagram account.
  12. Reselling Irazia products, or presenting oneself as an authorized retailer, distributor, or wholesaler.
  13. Any other material breach of these Terms.

Where an issue is minor and clearly unintentional, Irazia will normally email the affiliate first and give them a chance to correct it. Fraud, coupon-site posting, and impersonation receive no warning.

Termination

  1. Either party may terminate the affiliate relationship at any time, with or without cause, with written notice. Email constitutes written notice.
  2. Irazia may pause or close the program entirely at any time.
  3. Upon termination, the affiliate must cease all use of Irazia branding, promotional materials, and referral links or codes, and remove or disable them from their channels within a reasonable time. Existing organic posts may remain if the link and code are removed.
  4. The following survive termination: Commission and Payments as to reversals and forfeiture, Content and Media Rights, Intellectual Property, Independent Contractor Relationship, Limitation of Liability and Indemnification, and Governing Law.

Independent Contractor Relationship

Affiliates are independent participants. Nothing in these Terms creates an employment relationship, partnership, joint venture, franchise, or agency between an affiliate and Irazia. Affiliates have no authority to make commitments, offers, guarantees, or statements on Irazia's behalf, and may not accept payment, returns, or customer data on Irazia's behalf.

Limitation of Liability and Indemnification

  1. Irazia will not be liable for indirect, incidental, special, punitive, or consequential damages, or any loss of revenue, profits, goodwill, or data arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages.
  2. Irazia's total liability to an affiliate for any claim relating to this Agreement is limited to the total commissions paid to that affiliate in the six months before the event giving rise to the claim.
  3. The program and all materials are provided "as is." Irazia does not guarantee any level of earnings, traffic, tracking accuracy, platform uptime, or program continuity.
  4. Affiliates agree to indemnify and hold harmless Irazia and its officers, members, and employees from any claim, loss, or expense, including reasonable legal fees, arising from their promotional activity, their content, their failure to disclose, or their breach of these Terms.

Amendment

Irazia reserves the right to update and change these Terms and Conditions from time to time. When a material change is made, the updated version will be posted and the date at the top revised. Continued participation in the program after such changes shall constitute your consent to such changes. If you do not accept a change, stop using your link and code and email us to close your account.

Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Wyoming, and both parties consent to that jurisdiction.

Agreement

By participating in the Irazia Affiliate Marketing Program, sharing your link or code, or accepting a commission, you agree to abide by these Terms and Conditions. You understand that violation of any terms may result in the termination of your participation in the program and forfeiture of any accrued commissions.
